These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and AIvora Labs LLC ("AIvora Labs," "we," "us," or "our"). By accessing or using aivoralabs.co or any of our SaaS subscriptions, web applications, or digital products (collectively, the "Services"), you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
You must be at least 16 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Services. By using the Services, you represent that you meet this requirement and that your use complies with all applicable laws.

Certain Services are offered as recurring subscriptions ("Subscriptions"). When you start a Subscription, you authorize us, through our payment processor Stripe, to charge the applicable fees to your payment method on a recurring basis (monthly, annually, or as otherwise stated at checkout). Subscriptions renew automatically at the end of each billing cycle until cancelled.
Certain Services are offered as one-time purchases of digital products, templates, software licenses, or downloadable content ("Digital Products"). Digital Products are delivered electronically and are deemed delivered when the relevant download link, license key, or access credential is made available to you.
Prices for the Services are listed in U.S. Dollars unless otherwise indicated and exclude any applicable taxes, which may be added at checkout based on your location. We may change pricing at any time. Existing Subscriptions will continue at the price in effect at the time of your most recent renewal until the next renewal, when the new price (if any) will apply with prior notice.
Payments are processed by Stripe. By submitting a payment, you also agree to Stripe's terms and acknowledge that AIvora Labs does not store your full payment card details on our servers.
If a payment fails, we may suspend or terminate your access to the Services after providing reasonable notice. You remain responsible for any unpaid amounts.
You may cancel a Subscription at any time from your account settings or by contacting support@aivoralabs.co. Cancellation takes effect at the end of the current billing cycle, and you will continue to have access until that date. Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.
Subject to your compliance with these Terms and payment of applicable fees, AIvora Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or personal use. For Digital Products, the license terms set out at the point of purchase (e.g., personal, team, or commercial license) apply in addition to these Terms.

You retain ownership of any content, data, prompts, or files you submit to the Services ("User Content"). You grant AIvora Labs a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use User Content solely to provide and improve the Services, subject to our Privacy Policy.
Subject to your compliance with these Terms and payment of applicable fees, you own the output that the Services generate from your inputs ("Output"), except for any portion of the Output that includes our pre-existing materials, templates, or third-party content. You are responsible for evaluating Output before relying on it.
Output may be inaccurate or incomplete. The Services are not a substitute for professional legal, medical, financial, or other expert advice. You should independently verify any Output before acting on it.
The Services, including all software, designs, text, graphics, logos, and the AIvora Labs name and marks, are owned by AIvora Labs or its licensors and are protected by intellectual property laws. Except for the limited license granted in Section 6, no rights are transferred to you. All rights not expressly granted are reserved.
From time to time, we may offer beta, preview, or early-access features ("Beta Features"). Beta Features are provided "as is," may be modified or discontinued at any time, and are subject to additional terms we may communicate at the time of access.
The Services may integrate with or link to third-party services. Your use of third-party services is governed by their own terms and policies, and AIvora Labs is not responsible for those services.
You may stop using the Services at any time. We may suspend or terminate your access to the Services if:
Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that any defects will be corrected or that Output will meet your requirements.
To the maximum extent permitted by law, AIvora Labs and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or the Services, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. Dollars (USD $100).
You agree to indemnify, defend, and hold harmless AIvora Labs and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Services in violation of these Terms; (ii) your User Content; or (iii) your violation of any law or third-party right.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking equitable relief in any court of competent jurisdiction.
If you are a consumer located in a jurisdiction whose laws grant you the right to bring proceedings in your local courts, this section does not affect those rights.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and notify you through the Services or by email. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
